1. Introduction

Welcome to Fava Health Ltd. (“Fava Health”, “we”, “us”, or “our”). These Terms of Service ("Terms") govern your use of our products, software, services and website (together, the “Services”).

By using our Services, you agree to these Terms. If you do not agree to these Terms or any other applicable policies, please do not use our Services.

2. About our Services

Fava Health provides pharmacogenomic software and related services designed to support individuals and healthcare providers in understanding how genetic variation may influence responses to certain medicines.

Depending on how you access Fava Health, our Services may include either:

2.1 Pharmacogenomic testing services

In some cases, Fava Health may provide an end-to-end pharmacogenomic testing service. This may include:

  • collection of a biological sample (e.g. saliva or blood)

  • laboratory analysis of your DNA by an accredited third-party laboratory

  • interpretation of pharmacogenomic results

  • provision of a report for informational purposes

Where you use our pharmacogenomic testing services, additional terms relating to sample provision and laboratory analysis will apply (see Section 5).

2.2 Results access and interpretation services

In other cases, you may access Fava Health to view and understand pharmacogenomic test results that have already been generated by:

  • the NHS

  • a research study

  • a private healthcare provider

  • or another third-party laboratory

In these circumstances:

  • Fava Health does not collect your biological sample

  • Fava Health does not perform laboratory testing

  • Fava Health relies on pharmacogenomic data supplied by the relevant testing provider

  • Fava Health processes this data computationally in order to present your results in a structured and understandable format

Fava Health cannot verify the accuracy, completeness, or quality of pharmacogenomic data supplied by third-party testing providers and is not responsible for errors in laboratory analysis, data processing, or data transfer that occur before such data is received by us.

2.3 Nature of the Services

Our Services are intended for informational and educational purposes only and do not constitute medical advice. Always consult a qualified healthcare professional before making any medical decisions, including before making any changes to any medications that you take or the dose of any medications that you take.

3. Eligibility

You must be at least 18 years old and resident in the United Kingdom (“UK”) to use our Services.

If you are accessing our Services on behalf of another person, you confirm that you have their consent and legal authority to do so.

4. Pilot Phase

By using our Services, you acknowledge that the Services may be provided as part of an ongoing pilot or evaluation phase. This means that we may still be testing and improving the functionality of our processes, software and systems.

Whilst we endeavour to deliver a smooth Service, this may not always be the case during this phase.

Thank you for helping us improve our Services by participating.

5. Provision of Biological Samples (Testing Services only)

To use our pharmacogenomic testing services (where applicable), you may be asked to provide a biological sample (e.g. saliva or blood) following our instructions.

Samples cannot be returned to you.

You confirm that the sample belongs to you, or to the individual on whose behalf you are accessing our Services, and that you have their consent and legal authority to provide it.

You give us and any third party contracted by us permission to process and analyse your sample and return the results of the analysis to you.

6. Handling of DNA Samples and Data Storage (Testing Services only)

Where Fava Health provides pharmacogenomic testing services, we do not store biological samples longer than necessary. All samples are destroyed within 28 days after a pharmacogenomic test report has been generated.

Genetic data is managed securely and in compliance with applicable data protection laws including the UK General Data Protection Regulation.

7. Use of Your Genetic Information

By using our Services, you agree that your pharmacogenomic information may be processed in order to generate reports or visualisations for you or your healthcare provider.

We may also use aggregated and anonymised data for research, quality assurance and service improvement purposes.

We will never use your identifiable data for research or service improvement without your explicit consent.

8. Privacy and Data Protection

We take your privacy seriously and comply with all applicable data protection laws.

9. Failed Samples (Testing Services only)

Up to 3% of biological samples may fail when tested and cannot be used to provide results. Samples may fail:

  • because the sample does not contain enough DNA or an insufficient amount of biological material has been provided; or

  • because the laboratory process has resulted in an error, or the result does not meet required standards of accuracy.

If your sample fails, we may offer to send you one additional test kit free of charge. Any further failed samples are handled at our discretion.

10. User Responsibilities

By using our Services, you agree to:

  • provide accurate and complete information

  • provide any samples in accordance with the instructions provided by us (where applicable)

  • use your results responsibly and for informational purposes only

  • consult a healthcare professional before making any changes to medications that you take

  • not use the Services for unauthorised or unlawful purposes

11. Disclaimer of Warranties

Fava Health provides Services on an “as is” basis without warranties of any kind.

We do not guarantee that our Services will meet your expectations and disclaim all liability for decisions made based on the information provided through our Services.

12. Third-Party Testing Providers

Where Fava Health provides Services based on pharmacogenomic data supplied by a third-party testing provider (including NHS laboratories, research studies, or private laboratories):

  • we do not control how your biological sample was collected, processed or analysed

  • we do not verify the accuracy of laboratory test results

  • we are not responsible for errors in laboratory analysis or data transfer prior to receipt by Fava Health

To the extent permitted by law, Fava Health shall not be liable for any loss or damage resulting from inaccurate, incomplete, or incorrectly transmitted data supplied by a third-party testing provider.

13. Limitation of Liability

To the extent permitted by law, Fava Health shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from:

  • the use or inability to use our Services

  • any action you take based on the information you receive through our Services

  • any advice, prescriptions, or medical decisions made by any third party based on information provided through our Services

  • your failure to keep your password and account details secure and confidential

14. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify users via email or our website.

Continued use of our Services after changes means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may bring any dispute that may arise under these Terms to, at your discretion, either:

  • the competent court of England and Wales; or

  • the competent court of your country of habitual residence within the UK.
